1. Acceptance of Terms

By accessing or using the iSydney Enterprise AI Operating System ("Platform"), provided by ChanceTEK LLC ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform. The Platform provides autonomous agent deployment, data engineering capabilities, and enterprise intelligence services.

2. Description of Service

iSydney is a multi-agent orchestration platform that allows users to deploy specialized AI agents (e.g., Finance, HR, Legal, Custom) to perform autonomous tasks, execute code, process large datasets (Parquet, Avro, Excel), and integrate with third-party systems via the Model Context Protocol (MCP). We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice.

3. User Responsibilities & Autonomous Agents

You are entirely responsible for the behavior, prompts, and actions of the agents you deploy. iSydney allows agents to execute real-world actions, including sending emails, executing database queries, and calling external APIs.

  • You must not deploy agents to execute malicious code, perform denial-of-service attacks, or scrape third-party services in violation of their respective Terms of Service.
  • You must ensure that your external API tokens and Model Context Protocol (MCP) servers are secure and legally authorized for automated access.
  • We do not take responsibility for data loss, financial impact, or miscommunications resulting from autonomous agent executions or generated output.

4. Data Processing and Code Execution

The Platform provides an isolated sandbox environment for data engineering and mathematical execution. You agree not to attempt to break sandbox containment, access underlying server infrastructure, or execute code that exceeds reasonable resource consumption limits.

5. Intellectual Property

All rights, title, and interest in and to the Platform (excluding User Content) are and will remain the exclusive property of ChanceTEK LLC. Any code, datasets, or prompts you upload remain your property. However, by uploading content to the Platform, you grant us a license to process and display that content solely for the purpose of providing the Service to you.

6. Limitation of Liability

To the maximum extent permitted by law, ChanceTEK LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Platform.

7. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Platform will immediately cease.
